Warnex Inc. (TSXV: WNX.H) ("Warnex") is pleased to announce that it has entered into a binding letter of agreement with DIAGNOS Inc. ("Diagnos") (TSXV: ADK) (the "Letter of Agreement") pursuant to which Warnex will merge with a wholly-owned subsidiary of Diagnos (the "Transaction").
Warnex is a life sciences company devoted to protecting public health by providing laboratory services through its three divisions. The analytical services division provides quality control services, including chemistry, chromatography, microbiology, method development and validation, and stability studies. The bioanalytical services division specializes in bioavailability and bioequivalence studies as part of clinical trials. The medical laboratories division provides laboratory testing services, including genetic testing, pharmacogenetic services and human DNA identification.
