Kindred Healthcare, Inc. announced that it has signed a definitive agreement to acquire IntegraCare Holdings, Inc., a portfolio company of private equity firm Flexpoint Ford, LLC, for a purchase price of $71 million in cash plus a potential $4 million cash earn out based on 2013 earnings. The Company expects to finance the transaction with operating cash flows and proceeds from its revolving credit facility. IntegraCare will have no outstanding long-term debt at closing.
Kindred Healthcare is a healthcare services company, which operates a home health, hospice and community care business, transitional care hospitals, inpatient rehabilitation hospitals (IRFs), and a contract rehabilitation services business across the U.S. Co. is organized into three operating divisions: the Kindred at Home, which provides home health, hospice, and community care services; the hospital, which provides long-term acute care services; and the Kindred Rehabilitation Services, which operates IRFs, manages hospital-based acute rehabilitation units and provides rehabilitation services, including physical and occupational therapies and speech pathology services.
