Maidenform Brands, Inc. (NYSE:MFB) today announced that based on a vote tally from the special meeting of stockholders held today, Maidenform stockholders have voted to approve and adopt the previously announced merger agreement under which Hanesbrands Inc. (NYSE:HBI) will acquire all of the outstanding shares of Maidenform common stock for $23.50 per share in cash, without interest. Approximately 99.0 percent of the votes cast at the special meeting were in favor of the approval and adoption of the merger agreement, representing approximately 85.7 percent of Maidenform's outstanding common stock as of August 23, 2013, the record date for the special meeting. |
Maidenform Brands is an intimate apparel company. Co. designs, sources and markets intimate apparel products, including bras, panties and shapewear. Co. sells its products through multiple distribution channels, including department stores and national chain stores, mass merchants, other (including specialty retailers, off-price retailers and licensees), its company-operated outlet stores and its websites. Co. operates in two segments: wholesale, which includes domestic wholesale distribution, international distribution and licensing; and retail, which includes Co.'s company-operated outlet stores and its websites. At Dec 29 2012, Co. operated 77 outlet stores in 24 states and Puerto Rico.
