Details: S&W Seed Company announced that it has acquired Imperial Valley Seeds, Inc., a marketer of non-dormant alfalfa seed varieties to international markets, principally the Middle East, North Africa and Latin America. The purchase price was approximately $6 million, consisting of $3 million in cash, a $500,000 five-year note and 400,000 shares of S&W common stock.

S&W Seed is an agricultural company engaged in breeding, production and sale of alfalfa seed and sorghum seed. Co. also has a commercial market presence in pasture and sunflower seeds. Co.'s seed platform develops and supplies germplasm designed to produce higher yields for farmers worldwide. Co.'s sorghum seed products include both forage and grain sorghum. Co.'s alfalfa seed products include varieties that exhibit the traits that farmers value, such as high yield, root rot resistance, lodging resistance, salt tolerance, drought tolerance, leafhopper resistance and stem nematode resistance. Co.'s pasture seeds includes medic, clovers, vetch, forage cereals, and certain grasses.
