MFC Industrial Ltd. announced that its indirect wholly-owned subsidiary has acquired the remaining common shares of Compton Petroleum Corporation not already owned by MFC or its affiliates pursuant to a compulsory acquisition under the Business Corporations Act (Alberta). As a result of such acquisition, MFC and its affiliates now own 100% of the issued and outstanding Shares. The total consideration paid by MFC for the Shares under the takeover bid and compulsory acquisition was approximately $33 million. All dollar amounts herein are in Canadian dollars.
MFC Industrial is engaged in the commodities supply chain business. Co., through its subsidiaries, source, produce, process, transport, finance, assess risk and warehouse for producers and consumers of commodities. Co. also engaged in the hydrocarbon business in Canada. Co.'s business is divided into three operating segments: global supply chain, which includes Co.'s marketing activities and captive supply assets; trade finance and services, which includes structured solutions, financial services and proprietary investing activities and all other, which encompasses Co.'s corporate and other investments and business interests, including Co.'s medical supplies and servicing business.
