American Bonanza Gold Corp. (TSX:BZA)(OTCQX:ABGFF)("Bonanza" or "Company") announces that it has entered into a binding letter agreement (the "Letter Agreement") with Kerr Mines Inc. ("Kerr Mines") (TSX:KER) to merge their respective businesses pursuant to an amalgamation or plan of arrangement (the "Transaction").
American Bonanza Gold is a development stage mining company engaged in the identification, acquisition, exploration and development of precious metals properties located in the United States. Co. has not yet determined whether its mineral properties contain mineral reserves which are economically recoverable with the exception of Copperstone property. The recoverability of amounts capitalized is dependent upon the discovery of economically recoverable reserves, securing and maintaining title in the properties, obtaining the necessary financing to complete the exploration and development of these projects and upon the attainment of future profitable production.
