Slide #45. Cenveo — National Envelope
Cenveo, Inc. (NYSE: CVO) today announced that it has entered into a definitive agreement to acquire substantially all of the operating assets of National Envelope ("National" or the "Company"). In conjunction with Cenveo's agreement, Hilco Receivables has agreed to acquire substantially all the accounts receivable and Southern Paper has agreed to purchase the inventory of the Company. Cenveo's purchase price is expected to consist of approximately $20 million of cash and $5 million of Cenveo common stock. The closing is subject to Bankruptcy Court approval and customary closing conditions.
Cenveo is a holding company. Through its subsidiaries, Co. is engaged in the manufacturing of print-related products. Co.'s portfolio of products includes envelope converting, commercial printing, and label manufacturing. Co.'s segments include: Evelope, which provides direct mail products used for customer solicitations and transactional envelopes used for billing and remittance by end users; Print, which provides a range of print offerings to its customers including electronic prepress, and digital asset archiving; and Label, which produces a line of custom labels for a range of industries including manufacturing, warehousing, packaging, food and beverage, and health and beauty.
