Holloway Lodging Corporation (TSX: HLC) ("Holloway") and Royal Host Inc. (TSX: RYL) ("Royal Host") are pleased to announce that they have entered into an arrangement agreement pursuant to which Holloway has agreed to acquire all of the issued and outstanding common shares of Royal Host (the "RYL Shares"). Pursuant to the arrangement agreement, Royal Host shareholders will receive for each RYL Share they own a combination of $1.00 in cash and 0.1 of a Holloway common share (the "HLC Shares") (the "Acquisition").
Holloway Lodging is an open-ended real estate investment trust. Co. is engaged in acquiring, owning and operating select and limited service lodging properties and a small complement of full service hotels, primarily in secondary, tertiary and suburban markets in Canada. The objectives of Co. are: (a) to expand its asset base and increase its funds from operations through accretive acquisitions and internal growth initiatives; (b) to enhance the value of its assets to maximize long-term unit value through active management of its assets; and (c) to increase cash flow operations in order to resume distributions to unitholders at the appropriate time.
